Co-Chair of Winston & Strawn’s Sponsor Finance Practice, Kyle Foley has over 20 years of experience advising both private equity funds and direct lenders on a broad spectrum of intricate corporate finance structures, with an emphasis on leveraged buyout and recapitalization transactions, uni-tranche lending structures, and intercreditor arrangements. Kyle has over 20 years of experience representing private equity sponsors, corporations and a wide range of lenders, including banks, mezzanine funds and SBICs, in connection with cash flow and asset based syndicated and club-financings. His representations include acquisition financings, working capital facilities, dividend recapitalization facilities, bridge loans, debtor-in-possession and bankruptcy “exit” facilities, and debt restructuring and workout transactions. Additionally, Kyle has significant experience representing clients in various intercreditor and subordination arrangements, including negotiating agreements among lenders (AAL’s) in connection with unitranche financings, and intercreditor and subordination agreements in connection with first lien/second lien, split collateral, mezzanine and subordinated loan financings.
