David Dallas serves as general outside counsel for privately owned businesses. His practice focuses principally on strategic planning, business structurings and financings, mergers and acquisitions, management incentive, succession and tax planning, large commercial and real estate transactions and dispute resolution for businesses and estate stakeholders. Clients benefitting from Dave’s counsel include registered investment advisors, petroleum jobbers, service contractors, software and biotech development companies, manufacturers, professional corporations, real estate development concerns, freight delivery companies, private equity sponsors and many others. Responsive and pragmatic, Dave has substantial experience providing business, legal and tax advice to C and S corporations, partnerships and limited liability companies. He approaches problems and decisions with common sense and judgment tempered by experience. That experience includes management buyouts, venture financings, shareholder derivative actions, workouts, freezeouts, tax free mergers and leveraged and non- leveraged stock and asset purchases for both public and private companies. Dave is the founding partner of Williams Mullen’s Charlottesville office, which opened in 2000. He is a former member of the firm’s board of directors and past chair of its Diversity Committee. Dave is deeply committed to serving the Charlottesville community. He is involved in the Central Virginia Partnership for Economic Development and served as chair in 2016-2017. He also serves as director and treasurer of the Boys and Girls Club of Central Virginia Education Foundation, and he is a trustee emeritus of the Shenandoah National Park Trust. He is a former director of the Charlottesville Business Innovation Council and the Virginia Piedmont Technology Council. Before attending law school at the University of Virginia, Dave worked as a consultant in Arthur Andersen & Company’s Management Information Consulting Division, where he designed, programmed and installed custom information retrieval and reporting systems for government agencies and businesses.
