Bio

Jeffrey Ott represents businesses and financial institutions on M&A, Securities and Exchange Commission (SEC) filings and compliance with securities laws and general corporate and business matters. He has successfully completed well over 100 M&A transactions, and his experience features many public company transactions, including tender offers. Jeff regularly counsels publicly traded companies and their directors, officers and shareholders on strategic and compliance issues under federal and state securities laws for financial reporting, public offerings, stock transactions, proxy solicitations, tender offers and acquisitions. In addition to the success of his representation, one distinguishing feature of Jeff’s practice is the sheer number of bank M&A transactions he has handled – both large and small, ranging from a $5 million purchase to transactions in the billions, regardless of the state where the buying or selling bank is located. He also does a significant amount of securities work with banks, including assisting them with subordinated debt offerings. A tough but fair negotiator, Jeff is adept at handling both the buy and sell sides of transactions.
