Bio

Donald Crawshaw is a member of Sullivan & Cromwell’s Capital Markets, Financial Services, Investment Management and Commodities, Futures and Derivatives Groups. He has been active on matters for U.S. and Canadian clients throughout his career, working on a wide variety of investment management, public and private financing, acquisition and disposition, reporting, corporate governance, auditor independence, shareholder activism and other matters, and has extensive expertise on the multi-jurisdictional disclosure system between Canada and the United States. Mr. Crawshaw’s investment management practice includes the representation of open- and closed-end funds and their directors and the development of innovative products, including exchange-traded and various types of unregistered funds. He has worked on public and private offerings of common and preferred equity, hybrid, convertible, and indexed debt securities and warrants for numerous Canadian and U.S. issuers. Mr. Crawshaw has written and spoken about, among other things, regulatory and other developments affecting investment companies, the use of derivatives by pooled investment vehicles, issues for audit committees, corporate governance, securities law reform, globalization and the practice of law, and the multi-jurisdictional disclosure system between Canada and the United States. He is Co-Chair of the Task Force to Update the Fund Director’s Handbook, and Vice Chair of the Subcommittee on Investment Companies and Investment Advisers of the Federal Regulation of Securities Committee of the ABA Business Law Section; and Member of the following Task Forces of the Federal Regulation of Securities Committee: Task Force on Investment Company Use of Derivatives and Leverage, Task Force on Fund Directors, and Task Force on Cryptocurrencies and Blockchain and their Impact on the Asset Management Industry. He has been a member of the Investment Management Regulation Committee of the New York City Bar Association (2006–2009 and 2012–2015).
