Jay Reilly represents biotech, medical device and diagnostic companies, as well as universities and nonprofits, in strategic transactions in the life sciences industry, particularly complex collaborative arrangements and technology acquisitions and dispositions. Jay has extensive experience negotiating and closing joint ventures, licensing arrangements, mergers and acquisitions, and venture capital financings. He also handles day-to-day agreements such as manufacturing, clinical trial, consulting and sponsored research agreements. In addition, Jay counsels boards of directors, CEOs, CFOs, GCs, and other executives on governance, fiduciary duties and risk mitigation. He regularly serves as a senior advisor to executive teams, and as an outside general counsel for clients with limited in-house resources. Jay’s work in this capacity is informed not only by his large firm experience but also his past work for more than a dozen years as in-house counsel for the specialty pharmaceutical company Emergent BioSolutions, where he was general counsel and chief compliance officer, and for the software and services company Novell. This blend of experience positions him to provide pragmatic advice on both strategic and everyday legal matters.
