Thomas Brown is a forceful advocate and thoughtful counselor at both the trial and appellate level, skilled at guiding clients through difficult disputes involving complex business transactions, strategically important business relationships, corporate governance issues, licensing and collaboration agreements, and the federal securities laws, all while maintaining a sharp focus on achieving clients’ business and investment objectives. Tom has extensive experience representing clients in the pharmaceutical, medical device, and biosciences spaces, including disputes related to pre-clinical and clinical stage drug development involving collaboration agreements, commercial partnerships, and clinical research. Relatedly, Tom has represented a number of hospital systems and research entities in operationally critical disputes. Tom is also particularly experienced in issues related to companies with private equity sponsors or controlling shareholders, as well as in the health care and pharmaceutical spaces. In transactional cases, Tom has represented officers and directors of both acquirers and targets, helping clients successfully move deals from negotiation to closing through effective management of deal-related and post-closing litigation. And in securities cases, Tom has represented issuers, as well as officers and directors of issuers, in a number of industries, particularly technology and biosciences. Tom is also a member of Ropes & Gray’s appellate practice. He has handled a number of appeals in both federal and state appellate courts, particularly in matters related to the federal securities laws and state corporate governance questions. His appellate experience includes appearances in state supreme courts in Massachusetts, New York, and Delaware; multiple federal circuit courts; and the Supreme Court of the United States.
