Jonathan Schulman advises public companies in capital markets transactions and in connection with their U.S. Securities and Exchange Commission (SEC) disclosure obligations and related corporate governance matters. Jonathan represents clients in a variety of capital markets transactions, including initial public offerings, underwritten equity and debt offerings, Rule 144A debt offerings, convertible note offerings, and private placements. Jonathan serves as a trusted advisor to public companies on SEC reporting, compliance and disclosure issues, stock exchange rules, and general corporate matters. Jonathan also represents public companies in mergers and acquisitions.
