Michael Dayton leads a robust merger and acquisition practice and serves as trusted outside general counsel for sophisticated clients. He assists clients with succession planning and corporate governance issues, enterprise-level technology and other contract matters, industry-specific regulatory matters, commercial lending and secured transactions, and raising capital for entity formation and growth. He works with a broad range of industries including health care and health care technology, insurance and financial services, agribusiness, construction and related services, trucking and logistics, renewable energy, banking, software products and services, and more. Michael’s dedication to client counseling, strategic negotiations, and crafting tailored solutions aligns with his client-focused and timely approach, consistently delivering value-added services. Clients view Michael as steady, consistent, and genuine. With a PhD in education, bachelor’s degrees in both psychology and philosophy, and experience in social work, Michael is passionate about serving the community, especially in the areas of child education and welfare. Outside of the office, Michael is deeply involved in serving his community through leadership, teaching, and coaching. He takes community work and participation in nonprofit boards seriously. He extends that desire to improve the community to teaching and molding the next generation of attorneys and consistently looks for ways to mentor younger attorneys. Michael frequently writes and speaks on acquisitions, succession planning, client counseling, contracts, entity formation, and corporate governance.
