Karim Momin practice focuses on mergers and acquisitions (including roll-ups, spin-offs, divestitures, cross-border acquisitions and asset purchases and sales out of bankruptcy), private equity financings, joint ventures, startup company formation and financing, commercial contract negotiation and general corporate matters. Karim regularly acts as outside general counsel to both nascent and established businesses, assisting them with day-to-day counseling requirements as well as advising on extraordinary company transactions and events. Karim represents a broad range of company clients, including those in the restaurant, hospitality, fintech, blockchain, consumer products, beverage, apparel, software, technology, financial services, media and publishing, travel, telecommunications, consulting, healthcare, automotive, oil and gas, energy, and pharmaceutical industries. Karim also represents venture capital funds and other investors in a variety of investment and exit transactions, as well as financial institutions and other lenders in secured and unsecured lending transactions and acquisition financings. Karim is regularly asked by venture capital fund clients to represent their portfolio companies in both day-to-day matters and significant transactions when sophisticated counsel is required, and brings a practical, commercial approach to these engagements to help both portfolio company management and their investors achieve superior results.
