Gavin Grover is a partner in Morrison Foerster’s Public Company Advisory & Governance and Capital Markets practices. His practice is focused on the representation of growth companies in a wide variety of transactional matters. He serves as primary outside counsel to a large number of both private and public emerging and established growth companies, and counsels companies from formation through the initial public offering stage and beyond to ultimate sale or merger. He has completed more than 200 merger and acquisition transactions, including tender offers, auctions, special committee representations, and customary negotiated acquisition structures. Gavin has orchestrated a large number of strategic alliance and joint venture transactions. These transactions typically involve complex, long-term corporate partnering terms such as minority equity ownership with long-term purchase and sale options or other complex profit-sharing arrangements such as contingent value rights or earnout arrangements. He has represented numerous companies, underwriters, and intermediaries in a wide range of corporate financings and restructurings, including initial public offerings, Rule 144A and other private offerings, debt placements, subordinated and high-yield debt financings, medium-term-note programs, problem loan workouts, and recapitalizations. Gavin has also handled a number of complex workouts, restructurings, and distressed company acquisitions both inside and outside of bankruptcy court. Gavin works in a wide range of industry areas with an emphasis on rapid growth as the common theme, including consumer and branded companies, life sciences, and technology.
