Ruoke Liu advises sponsors and investment managers of private equity funds, venture capital funds, funds of funds, and hedge funds on fund formation, complex fund restructurings, and co-investment and general partner (GP)-led secondary transactions. She also represents insurance companies, university endowments, sovereign wealth funds, funds of funds, US public pension funds, family offices, and foundations in connection with their investments into the full range of private investment funds, including private equity, venture capital, and hedge funds. A native Mandarin speaker, Ruoke’s diverse transactional experience has also included advising clients on matters involving mergers and acquisitions, joint ventures, financings, and general corporate transactions. Ruoke has experience assisting Chinese companies, including life sciences companies, doing business globally. Ruoke also advises fund managers on compliance with the Investment Advisers Act of 1940, other relevant US securities laws, and the Corporate Transparency Act. Ruoke is a member of Morgan Lewis’s Committee on Foreign Investment in the United States (CFIUS) working group. CFIUS is a US government body comprising nine cabinet-level executive branch agencies that review foreign investments in US companies. Additionally, she is a member of the firm’s working groups on family offices, insurance, and US-China. While attending law school, Ruoke worked with Judge Richard Posner as his research assistant.
