Bio

Co-Chair of Winston & Strawn’s Project Finance Practice, Alan Hoffman has extensive experience advising clients on lending, securities, infrastructure, private placements, and project finance transactions involving sports facilities, independent power and cogeneration facilities, real estate, aircraft, transportation assets, and various other tangible assets. He is recognized for his project finance work in The Legal 500 US. He has represented institutional lenders, commercial banks, insurance companies, equity investors, investment banks, and project sponsors. Alan has represented clients in 144A transactions and private placements involving investment grade and sub-investment grade issuers. He has drafted and negotiated all documentation related to project financings and has completed transactions in the sports sector for the Los Angeles Dodgers, New York Yankees, San Francisco 49ers, Dallas Cowboys, and Boston Celtics. Alan also has extensive experience representing clients in structured finance and securitization transactions and works extensively in developing and implementing sophisticated products that involve complex collateral and tax structures. He has handled transactions involving real estate investment trusts (REITs), registered investment companies, bond insurers and other credit enhancers, public utilities, alternative energy companies, broker/dealers, and investment advisers. Alan has developed financing structures designed to monetize long-term contracts and securitize various types of assets. He also regularly advises Fortune 500 companies on general corporate matters. His representative clients include: the Los Angeles Dodgers/Guggenheim Baseball Management; Goldman Sachs; Morgan Stanley; Barclays; UBS; JP Morgan; Wells Fargo; Juniper Capital; American Electric Power; Stryker Corporation; Commonwealth Bank of Australia; Paribas; and large insurance companies.
