Veronica Montagna stays current on industry trends, changing rules and regulations, and other shifting market conditions that impact her clients’ business.Veronica Montagna counsels U.S. and foreign public and private companies and their directors and executives on their compliance and reporting obligations under federal and state securities laws, as well as best practices and emerging trends in the area of corporate governance and general corporate matters. She frequently advises buyers and sellers in mergers and acquisitions and in the disposition of business assets, as well as lenders and borrowers in secured and unsecured loan transactions. Veronica also represents venture capital companies and private equity funds in both debt and equity investments in portfolio companies. Veronica advises banks and other financial institutions on such matters as mergers, acquisitions and affiliations; minority investments; public offerings of equity securities; and compliance and regulatory matters that affect their daily operations and strategic business decisions. She is knowledgeable about federal and state banking laws, regulations, and related interpretations. She is active in the firm’s Women’s Initiative and the National Association of Women Lawyers. She is a member of the firm’s Accounts Receivable Committee as well as the Pro Bono Committee, regularly participating in pro bono programs and providing free legal services to disadvantaged individuals, families, and the non-profit entities that serve them because she is convinced that it is the right thing for a lawyer to do and finds the work tremendously rewarding.
