Bio

Clients highly value David Carpenter for his experience with mergers and acquisitions, divestitures and sales of businesses, collaboration and licensing arrangements, joint ventures and strategic alliances, with particular emphasis on cross-border transactions. In addition to his M&A work, David represents clients in connection with PIPEs, venture capital and early stage investment activities as well as on corporate governance matters. David is also a founding member and Chair of Mayer Brown’s ESG product group and, in this role, represents clients in connection with their carbon reduction initiatives, among other things. With a specialization in the Food & Beverage, Chemicals and Life Sciences sectors, David represents multinational clients in M&A transactions and has significant experience representing strategic bidders in connection with their participation in the competitive auction settling. David regularly counsels Food & Beverage, Life Sciences and Chemical industries on negotiation and documentation related to supplier relationships, contract manufacturing, distribution, and brokerage. As a result, he has a keen awareness of the day‐to‐day commercial arrangements that are relevant to competitors in these industries. David also advises clients on corporate governance matters. David previously served as the Practice Leader of Mayer Brown’s New York Corporate & Securities practice group. Clients served by David include health and wellness company, Nestlé S.A. and its Nestlé Health Science business unit, Colgate-Palmolive, Mitsubishi Corporation, Belgian-based chemical company, Solvay S.A. real estate investment fund, Walton Street Capital, and India-based Reliance Industries.
