Ted Randolph advises funds, their sponsors, and their advisers on the formation and structuring of private funds, and the legal, compliance and operational matters related to their management and investment activities. His practice focuses on the formation of U.S. and international hedge funds, funds of funds, private equity funds, and venture capital funds. In addition to fund formation, Ted counsels on compliance with SEC and state regulations, marketing and advertising restrictions, and day-to-day operational and compliance issues. Ted represents managers of all sizes, from large institutional managers with complex structures to family offices and managers launching their first investment fund. He has guided new managers in spinning out their operations from larger shops, often setting market terms and negotiating with anchor and seed investors. Ted’s previous roles include Senior Vice President and Associate General Counsel at HSBC Securities Services, as well as counsel in the Investment Funds group at Shearman & Sterling.
