Ivo Posluschny has more than 20 years of experience in complex domestic and cross-border transactions, particularly relating to Germany. He advises on mergers, acquisitions, buyouts, divestitures, and joint ventures and has considerable experience structuring, negotiating, and documenting private equity transactions and venture capital financing rounds. He also advises on transaction-related international arbitration proceedings and commercial litigation. Ivo recently advised Phenomen Ventures in its participation on the $1.1 billion IPO of Delivery Hero; The Riverside Company on its investment in Impeo Software GmbH (Impeo); EagleTree Capital on the acquisition and related financing of CORSAIR from Francisco Partners for $525 million; and Celonis GmbH, a leading process mining company, in connection with its issuance of $27.5 million of Series A Stock in a private placement to Accel and 83North. Prior to joining Jones Day, he advised financial investors such as Bain Capital in the acquisition of Süddekor Group and in the disposal of the Brenntag Group to BC Partners; Golden Gate Capital in the acquisition of Leica Microsystem's semiconductor equipment division and in the acquisition of enterprise resource planning (ERP) software manufacturer Infor, including the representation of the takeover target in the subsequent rescission and appraisal proceedings; Findos Investor in the acquisition of Ondal Group Industrietechnik and Tondeo Group from Wella AG and in the subsequent disposal of the latter; as well as Audax Group, Madison Dearborn Partners, and MidOcean Partners.
