Recognized among the country’s most experienced corporate lawyers, Kurt von Moltke draws on more than 35 years of experience structuring, negotiating, and executing complex M&A transactions. Corporate boards, Special Committees and management teams rely on his counsel in negotiated and hostile acquisitions, private equity transactions, complex corporate debt restructurings, corporate finance, and securities transactions. Kurt regularly advises clients on SEC disclosure, reporting and compliance matters, with a particular expertise in cybersecurity disclosure. Kurt serves as a Co-Chair of the firm’s Mergers and Acquisitions Practice. Kurt’s experience helps issuers and underwriters execute initial public offerings, follow-on equity offerings, universal shelf registrations of equity and debt, investment grade debt offerings and high-yield debt offerings. He helps public companies navigate complex debt restructurings and workouts and represents private equity funds and their portfolio companies in both merger and acquisition transactions and securities offerings. He is also actively advising start-ups and emerging companies in the United States and abroad. Kurt has represented US and international clients in structuring cross-border transactions, including acquisitions throughout Europe, Asia, the Middle East, and Latin America, and joint ventures in China, Japan, Turkey, and Australia.
