Jonathan Adler represents large financial institutions and fund managers in complex asset management transactions. Managers of large private funds, including hedge funds, real estate funds, private equity funds, funds-of-one, and hybrid funds, seek Jonathan’s advice on fund formation and regulation, as well as acquisitions and dispositions of alternative investment managers. Jonathan also provides advice to such managers on securities laws matters, including Section 13(d), Section 13(f), Section 16, Regulation D, Regulation S, Rule 144, Rule 144A, Rule 105, and Rule 152.
