Raja Patil Bio

Raja Patil is a member of Dentons' Corporate group who maintains a multi-disciplinary practice that spans several practice areas. Raja serves as outside general counsel for many of his clients by providing a valuable “one stop shop.” His clients range from small start-up companies and family offices to large, publicly traded companies. Raja focuses on advancing not only the legal issues involved in a transaction, but also understanding the client’s true goals and objectives. He counsels clients in a variety of industries, including real estate development, hotels and hospitality, restaurants, financial institutions, franchising and distribution, retail, software development, senior and post-acute care facilities, healthcare, energy and natural resources, and manufacturing. Raja has substantial experience with complex Mergers and Acquisitions and has focused much of his practice in the last few years on transactions involving software development companies, SAAS companies, medical device companies and businesses in highly regulated industries. His experience is principally middle-market, but he has served as lead counsel on large, public-company transactions and numerous closely held company transactions that have both domestic and international operations. Raja is a member of the firm's Real Estate practice group, and he has been recognized by his peers as a leader in this industry. He works on all facets of real estate law, including acquisitions, dispositions, development, construction and leases. Raja has drafted and negotiated a variety of leases including REIT leases, office leases, strip center leases, triple net leases and industrial warehouse leases throughout the United States. In addition, he is an agent of First American Title Insurance and is one of the top producing commercial title insurance agents in the Firm. Complementing Raja’s extensive Real Estate experience is his membership in Dentons’ Hotels and Leisure industry group. Raja is widely regarded as a leader in the hospitality legal industry and is a valued member of his hotel clients’ teams. He serves as a strategic advisor who delivers consummate insight on hospitality investment, development and operations derived from having been integrally involved in all aspects of the purchase, sale and development of dozens of hotel assets, from overseeing due diligence to negotiating franchise and management agreements and other key documentation. He is also actively involved in identifying, structuring, negotiating and documenting the capitalization of hotels, including equity and traditional debt financing. Raja is also one of the national co-chairs of Dentons’ Franchising and Distribution group. He has in-depth experience in franchising law, including franchise structuring and formation, franchise agreement reviews, mergers and acquisitions of franchised businesses, licensing, franchise relations, development agreements, supply chain management and regulatory compliance. Throughout his career, Raja has successfully closed hundreds of transactions involving franchised businesses, including hotels and restaurants. Raja is a former leader of the Banking and Finance practice group and maintains a commercial lending practice. He concentrates primarily on advising and representing banks and institutional investors in finance transactions, including commercial loan closings, asset-based lending transactions and real estate financings (both permanent and interim construction).
