Bio

Leslie Smith is a member of Dentons' Corporate practice and Co-Chair of the Dentons Bingham Greenebaum Women's Forum. She concentrates her practice in the areas of mergers and acquisitions, finance and corporate law. Leslie represents buyers and sellers in mergers and acquisitions transactions, with a focus on private equity for middle-market companies. She has extensive experience in stock and asset acquisitions, mergers and other reorganizations. Leslie also serves as outside general counsel for corporate clients. Leslie handles a variety of day-to-day legal matters, including preparing and negotiating a wide range of agreements in connection with commercial transactions and corporate activities, including service agreements, confidentiality and nondisclosure agreements and license agreements. Leslie represents institutional clients, borrowers and lenders to structure complex financing transactions. Leslie prepares and negotiates loan agreements, promissory notes, guarantees, indemnification agreements, mortgages, pledge agreements and other security instruments, corporate authorizations and certificates, intercreditor agreements and other ancillary documents related to loan transactions and collateral for loans. Leslie also provides counsel regarding loan default issues, indemnification claims and other issues relating to impaired collateral. Leslie helps clients who are pursuing financing opportunities by evaluating risks and advising on how each opportunity may impact the client’s desired outcome. Leslie is also a member of the Firm’s SBA Task Force, whose primary purpose has been to review, evaluate and inform clients on all matters relating to the Paycheck Protection Program.
