Todd Gluth is the chair of Cooley's tax practice group. Todd advises clients on structuring and tax aspects of complex domestic and cross-border business transactions, including mergers and acquisitions, joint ventures, public and private offerings of securities, debt and equity restructurings, real estate transactions, executive compensation, the organization and operation of investment funds, and investments by tax-exempt and non-U.S. investors. He also represents clients in connection with federal and state tax controversies, voluntary disclosures, private letter rulings, and commercial litigation involving tax matters. Following his graduation from law school, Todd clerked for the Honorable William A. Fletcher of the U.S. Court of Appeals for the Ninth Circuit and the Honorable John Paul Stevens of the U.S. Supreme Court. Todd frequently writes and speaks on tax matters, and has presented at some of the most prominent tax conferences nationwide (including the New York University Institute on Federal Taxation, Practising Law Institute, the University of Southern California Tax Institute and the University of Chicago Federal Tax Conference).
