Stephen Katz is a partner in Connell Foley’s Corporate and Business Law Group. With an extensive background in corporate law, Stephen counsels publicly and privately held companies in the full range of mergers and acquisitions, joint ventures, debt and equity offerings, venture capital transactions and regulatory matters. His practice also covers business formation and organization, including partnership and limited liability company agreements, commercial agreements, corporate governance and securities regulation. An exceptionally experienced corporate practitioner, Stephen advises a wide array of clients in many industries, including: venture capital investors; investment banks; technology companies; construction, architecture and engineering companies; nationally recognized apparel manufacturers; medical practice groups; corporate executives; and entrepreneurs. Stephen’s corporate representation includes the preparation of a wide variety of agreements, such as operating agreements, shareholder agreements, technology and intellectual property license agreements, product sale and distribution agreements, equipment leases and employment agreements. He represents many companies in private placement, venture capital and private equity transactions, as well as publicly held companies in connection with SEC reporting requirements. Stephen also advises foreign companies looking to establish operations or acquire companies in the United States. Prior to joining Connell Foley, Stephen was a partner and Chair of the Corporate Law Practice Group of a nationally known law firm for more than 15 years, where he represented clients in all facets of corporate law, including buyers and sellers in public and private mergers and acquisitions, and multi-national companies in domestic and international joint ventures, strategic relationships and strategic investments. Leveraging his prior firm’s international construction law practice, Stephen has unparalleled experience handling mergers and acquisitions within the construction industry. With a broad business background, Stephen also previously served as executive vice president and general counsel for Imagine Networks, Inc., a company he founded and for which he oversaw all regulatory and legal matters, including regulation of non-bank financial institutions and anti-money laundering regulation. Stephen previously served as Co-chairman of the Securities Law Division of the New Jersey State Bar Association and is a board member of 100 Entrepreneurs, Inc., a not-for-profit corporation providing career counseling services to wounded veterans. Stephen also serves on the board of directors of Finkraft Junior Development Cycling Team, a non-profit that supports the development of youth bicycle racers.
