Adolfo Garcia practices in the corporate, business, and international areas, with extensive experience handling various corporate and business transactions, including financings, private equity, securities, mergers and acquisitions, joint ventures, investments, restructurings, and contractual arrangements in the U.S. and most other major parts of the world. Dolf also represents non-U.S. based clients with their U.S. based and/or U.S. law governed matters and international issues including structuring, regulatory, and compliance. Dolf has done significant work outside of the U.S. including Western Europe (particularly the U.K., Spain, France, Germany, the Netherlands, Italy, and Ireland), Canada, Central and South America (particularly Argentina, Brazil, Chile, Colombia, Ecuador, Mexico, Peru, and Venezuela), the Caribbean, Asia (particularly China, Hong Kong, and Japan), India, and the Arab Middle East (particularly the Emirates, the Gulf, and Saudi Arabia) on behalf of U.S. and non-U.S. clients. He has extensive experience regarding U.S. laws and regulations applicable to U.S. and non-U.S. clients doing business outside of the U.S. such as the Foreign Corrupt Practices Act (FCPA), the U.K. Bribery Act, the Export Administration Act, and U.S. laws and regulations administered by the Department of the Treasury’s Office of Foreign Asset Control (OFAC), including Cuba, Dolf's country of origin, and various sanctions programs including the Helms-Burton Act. Dolf has also had significant experience with family and closely held/private business representations, particularly where a family or family group is a key player starting with the significant representation of the Pierre Arpels family in connection with Van Cleef and Arpels in the 70s and early 80s through many other family representations to date including the current representation of at least two significant clients that have family control or significant family involvement in the business or post-closing involvement in businesses that they have sold. Prior to joining Brown Rudnick in 2013, Dolf was a partner in the Boston office of an international firm and at Ropes & Gray, where Dolf was a co-founder and served as Co-Head of the International Practice Group from 2003 to 2010. In this role, among other duties, Dolf managed, supervised, and expanded Ropes' non-U.S. counsel network and supervised a team that advised financial institutions and fund clients on the securities laws of over one hundred foreign countries (so called “WorldSky” matters) with emphasis on private placements, investments, and significant shareholder issues, as well as related exemptions and required filings.
