Samuel Burgess goal is to assist his clients with current legal issues and also provide advice on business matters, so his clients obtain maximum operational efficiency. In the ever-changing healthcare industry, which provides many challenges to his clients, Sam provides them with knowledgeable guidance from a legal standpoint while also providing a business perspective. Sam represents and advises hospitals, ambulatory surgery centers and a wide range of professional practices that include physicians, dentists and physical therapists. Sam assists these entities with general corporate transactions and corporate governance, including business structuring, mergers and acquisitions, leases, employment agreements, shareholder agreements, management agreements, buy-sell agreements and affiliations. He also advises clients on daily regulatory issues and compliance with state and federal law, with a focus on the application of the Stark Law, Anti-Kickback Statute and the Health Insurance Portability and Accountability Act (HIPAA). He advises clients on the scope of “protected health information” and the protections necessary under HIPAA for the transfer and disclosure of such information. He also drafts and negotiates agreements with providers, vendors and other third-parties to ensure adequate confidentiality provisions are included. Sam also represents corporate clients in a wide variety of transactional matters, including formation, corporate governance, mergers and acquisitions, joint ventures, succession planning and commercial financing.
