Bio

David Kronenberg is a leading energy finance attorney who represents energy companies, financial institutions, hedge funds, and private equity firms in energy transactional matters, bankruptcy and restructuring matters, mergers and acquisitions, and regulatory and transactional matters involving carbon markets and renewable energy credits. David has significant experience negotiating and drafting physical and financial energy commodities transactions using ISDA, NAESB, and EEI documentation; credit documentation serving as security for lien-based hedging transactions; and hedging agreements involving chapter 11 debtors and related hedging and trading orders. David also advises clients regarding secured energy transaction terms and structures. He represents debtors, lenders, and creditors in a range of matters in oil and gas, retail energy, and power generation bankruptcy cases as well as drafts legal opinions or memoranda regarding the application of the Bankruptcy Code safe harbors to energy derivatives. He also advises with respect to various midstream issues, including the rejection of transportation service agreements and the enforceability of gathering agreement dedications in bankruptcy. Additionally, David advises clients in transactions involving the acquisition or disposition of energy and other assets as well as counsels on registration and compliance requirements under carbon cap-and-trade programs and transactions involving carbon allowances, renewable energy credits, and the use of carbon offset project registries. David previously served as a leading energy and financial restructuring attorney at Am Law 100 firms in Washington, D.C. and New York.
