Ashley Menser regularly advises clients on the tax and corporate aspects of transactions, including the structuring and formation of entities, domestic and international stock and asset sales, preferred equity investments, private placements, joint ventures, and conversions, mergers and acquisitions of business entities. Ashley also represents lenders and CMBS servicers on transactions involving securitized and non-securitized loans, including extensions, modifications, consent issues, transfers of interest and assumptions, with a particular emphasis on defeasance transactions. She has represented many of the industry’s largest servicers and successor borrower programs in thousands of defeasances, and is a recognized industry resource and frequent speaker on defeasance-related topics. She is regularly engaged on transactions involving the most complex loan servicing and REMIC taxation issues, and manages a team that brings together lending, tax and servicing expertise demanded by such engagements. Ashley received her J.D., with honors, in 2004 from Emory University School of Law, where she was a managing editor of the Emory Law Journal. She received her B.A., with honors, in 2001 from the University of Florida.
