Bio

Dale Lum has an international practice focused on corporate and structured finance, with particular emphasis on the use of structured financings in mergers and acquisitions and hedge fund and private equity transactions, as well in the alternative/renewable energy context. Dale has been at the forefront of structured financings in the U.S., Europe and Asia. He joined the firm in 1983 and was elected partner in 1991. Dale is a leading lawyer in the development of motor vehicle lease securitizations and has worked on a number of groundbreaking transactions, including the first automobile lease-secured note issuance, the first mortgage-backed medium-term note program, the first automobile lease securitization involving a motor vehicle titling trust, the first U.S. debt offering by a Japanese motor vehicle finance subsidiary and the first stranded utility cost securitization. Dale has been a pioneer in applying structured finance technology in the alternative/renewable energy arena and in mergers and acquisitions and hedge fund and private equity transactions. The Bond Buyer named one of his alternative energy structured financings as one of its “2013 Deals of the Year,” Investment Dealers’ Digest named one of his structured finance mergers and acquisitions transactions as its “2006 Deal of the Year” and Institutional Investor named one of his structured finance transactions as one of its “1994 Deals of the Year.” Dale was recognized as a leading Securitization lawyer in the 2008–2017 editions of Chambers USA: America’s Leading Lawyers for Business. He was also recognized in the 2009–2017 editions of Chambers Global. Dale was recommended in The Legal 500 US 2014–2017 editions for Finance. He has also has been recognized in the 2014–2017 editions of the IFLR1000 as a “Leading Lawyer” in Structured Finance and Securitization in the United States. Dale represents issuers, underwriters, acquirers and target companies. He has been involved in a broad range of financial transactions, including asset-backed financings of all types, structured financings in the acquisition context, synthetic and derivative securitizations, intellectual property financings, alternative/renewable energy and stranded utility cost financings, marketplace loan financings, offerings of debt and equity securities, corporate spin-offs, rights offerings, commercial paper and medium-term note programs, and bank credit agreements and bridge loans. He is counsel for a number of large United States, European and Japanese corporate issuers and has represented every major United States investment banking firm in at least some aspect of its securitization or structured finance business. He also represents clients in a variety of work-outs and restructurings involving structured transactions and domestic and international structured financings. Dale writes and lectures regularly on general corporate and structured finance topics in the U.S., Japan, Hong Kong, and China.
