Robert Masella is a partner in the Mergers and Acquisitions practice. He has extensive experience in U.S. and cross-border corporate transactions, complex corporate contracts, Board of Directors representations and corporate governance matters. His transactional work includes public and private mergers and acquisitions, sell-side and buy-side transactions, dual-track M&A/IPO processes, joint ventures, licenses, co-promotion agreements, debt and equity investments and issuances, spin-offs and other forms of corporate transactions. He also regularly represents investment banks in connection with financial advisory assignments. His corporate governance practice includes advising clients with respect to shareholder activism, corporate governance and fiduciary duty matters, disclosure obligations, conflicts-of-interest and compliance matters. Prior to joining Shearman & Sterling Rob spent a number of years as a Managing Director in the Mergers & Acquisitions Group at Bank of America Merrill Lynch, where he advised companies on U.S. and cross-border M&A transactions and participated on the firm’s fairness opinion committee. He was previously a partner with Clifford Chance LLP and was also with Cravath, Swaine & Moore LLP for nearly a decade.
