Coleson Bruce is a partner in the Mergers & Acquisitions and Project Development & Finance practices. Coleson’s practice focuses on complex commercial transactions in the energy industry, including the acquisition and divestiture of energy companies and assets, joint venture/development arrangements, and the evaluation and structuring of proposed transactions. Transaction experience spans onshore fields across the U.S., offshore (including deepwater Gulf of Mexico), the North Slope of Alaska, and numerous cross-border transactions. Coleson has extensive experience advising clients making a first-time investment in new jurisdictions (e.g., international clients making a first-time investment in the U.S., or considering such a counterparty) or in new asset categories (e.g., domestic companies making a first investment in upstream oil & gas assets, or considering such a counterparty). He’s assisted numerous clients in surveying and communicating legal and regulatory regime risks associated with such projects, corporate entity choice and structuring, local or cross border project risks, and regulatory or business compliance loads implicated by such investments (including corporate governance, jurisdictional considerations, CFIUS review, economic sanctions, BOEM qualification, etc.). Before joining the firm, Coleson served as a law clerk to the Honorable Billy Roy Wilson of the United States District Court for the Eastern District of Arkansas.
