As a partner in Perkins Coie’s Healthcare industry group, Zubin Khambatta represents major hospital systems and hospitals, academic medical centers, specialty and pediatric physician practices, clinical laboratories, and telehealth, behavioral health, and digital health providers in transactional, regulatory, and reimbursement matters. As a trusted advisor, he provides guidance on issues relating to healthcare laws, regulations, and policy, with an emphasis on securing a sound financial, operational, and regulatory footing so providers and other healthcare organizations can focus on what matters most—delivering care and serving their patients. Zubin regularly represents healthcare clients in mergers and acquisitions (M&A), joint ventures, strategic collaborations, and venture and equity financings, including acquisitions by private equity-backed platforms, strategic acquisitions, institution-to-institution affiliation and collaboration agreements, and the acquisition, sale, or restructuring of hospitals, physician practices, ambulatory surgery centers, ambulance providers, and behavioral health practices. Clients turn to him to provide strategic advice and counseling for such transactions and reimbursement arrangements—including with respect to joint venture arrangements, professional services agreements, provider network agreements, public-private partnerships, academic medical center affiliations, the provision of hospital and medical services, data-sharing and electronic health records agreements, and agreements on behalf of or with group purchasing organizations. His practice entails forming professional entities, including Texas nonprofit health organizations, and advising on corporate governance matters. In addition, Zubin regularly counsels healthcare clients on compliance with the full panoply of federal and state healthcare fraud and abuse laws, licensure and accreditation requirements, and regulations governing base and supplemental reimbursement. These include the federal Anti-Kickback Statute, the Stark Law, Medicare and Medicaid reimbursement regulations and guidance, Medicare Advantage compliance, corporate practice of medicine restrictions, the Emergency Medical Treatment and Active Labor Act (EMTALA), the Health Insurance Portability and Accountability Act of 1996 (HIPAA), and other federal and state health privacy laws, as well as state licensure and accreditation rules. Zubin has particular knowledge in the representation of children’s hospitals, hospital systems, hospital districts/public hospitals, and academic medical centers in government reimbursement and transactional matters that defray the costs of uncompensated care and facilitate greater access to services and the shift to value-based care. In this vein, he regularly advises clients on Medicaid and uninsured supplemental payment matters that arise under Section 1115 Medicaid waivers, the Disproportionate Share Hospital programs, graduate medical education programs, and various upper pay limit (UPL) and state-directed payment programs. As a member of Perkins Coie’s Technology Transactions & Privacy practice, Zubin’s practice also encompasses counsel to startups and emerging companies that develop and market digital health services and medical devices. He regularly advises clients on healthcare technology and data-related matters including requirements under HIPAA, Health Information Technology for Economic and Clinical Health Act (HITECH), 42 C.F.R. Part 2, and other federal and state privacy laws.
