Bio

Melanie Rubocki is the managing partner and head of the Corporate Law practice for the Boise office. She is also the former co-chair of the firm's Emerging Companies & Venture Capital Law practice. With a foundation in finance and entrepreneurial studies from the Wharton School of Business, Melanie brings a business sensibility and reasonableness to her client relations and any negotiated transaction. She represents business clients through their entire life cycle, from startup formation to exit. Her approach to the client relationship is proactive rather than reactionary, endeavoring to help clients avoid legal pitfalls and traps for the unwary. Melanie represents clients in a number of industries and regularly advises on emerging growth company issues, operating entity legal issues, and commercial transactions. She has led clients in all forms and stages of equity and debt financings and has an active mergers and acquisitions (M&A) practice, advising both buy- and sell-side clients on complex M&A and other strategic business joint ventures and arrangements. She also routinely counsels directors and officers on board management, corporate governance, and fiduciary duty matters. Melanie is very active in the community and serves on multiple nonprofit boards.
