Bio

Michael Nussbaum is a Partner in the Corporate and Licensing Group at Pearl Cohen’s Tel Aviv office. His practice is focused primarily on corporate finance and on complex international commercial transactions, with an emphasis on technology and other intellectual property, as well as international M&A transactions concerning American, European and Asian corporations and ventures. Michael has extensive experience in all areas of the hi-tech industry, including negotiating joint development and complex, multi-party licensing arrangements, contract manufacturing agreements, software bundling and associated revenue-sharing arrangements, OEM, supply, VAR and distribution agreements, international standards organizations and technological alliances, and supplier compliance with US Federal Acquisition Regulations and Trade Agreements Act requirements. Michael is also active in representing corporations in the creation and management of joint ventures, partnerships and consortia, as well as the establishment of associated multi-tiered, cross-border holding and management structures. In addition, Michael acts for private equity and venture capital firms and emerging companies in connection with private capital raising transactions. Prior to joining Pearl Cohen, Michael headed the corporate department at another leading law firm in Israel, and led a private practice representing certain investment funds and high net-worth individuals in their international business dealings. Michael also served as senior legal counsel at msystems Ltd., a Nasdaq-traded company (FLSH) from early 2005 until its acquisition by SanDisk Corporation (SNDK) in late 2006. From 1998 to 2001, and from 2003 to 2005, Michael was an attorney at another leading law firm in Israel. From 2001 to 2002, Michael was an attorney in the Business and Technology group of Brobeck, Phleger & Harrison LLP in New York.
