Milan Slak focuses his practice on complex business transactions including domestic and cross-border mergers and acquisitions, leverage buyouts, joint ventures, and recapitalizations. He has been the lead attorney or lead tax and structuring attorney on numerous M&A transactions. A licensed CPA, Milan advocates on behalf of clients to resolve tax controversies with the Internal Revenue Service and state taxing authorities by assisting taxpayers with audits, appeals, refund claims, offers in compromise, private letter rulings, voluntary disclosure, and civil tax litigation. Milan also assists clients with local business tax issues, sales tax audits, and federal excise tax issues. Milan represents clients in the formation and organization of business entities and documents client goals and objectives in structuring the governing documents of these entities. He provides critical counseling on business transactions including M&A, due diligence, corporate governance, financing, contracts, and employment, operating, and shareholder agreements. Milan handles all aspects of estate administration and helps clients design and implement estate, succession, and gifting plans and strategies that effectuate wealth transfer and asset protection.
