David Freed is a partner in Mayer Brown’s New York office and a member of the Capital Markets practice. David represents issuers and underwriters in public and private offerings of equity and debt securities in a number of industries, with a focus on real estate and REITs. David advises equity and mortgage REITs, investment banks and private equity sponsors, in connection with private placements, IPOs, follow-on offerings, ATM offerings, secondary offerings, Rule 144A offerings, Regulation S offerings, forward equity offerings and consent solicitations, exchange offers and tender offers. He advises management teams, boards of directors, real estate fund sponsors and other owners of real estate with respect to UPREIT and pre-IPO formation transactions, and has substantial experience advising REITs and other public companies with respect to SEC reporting obligations, NYSE and Nasdaq compliance matters, corporate governance matters and conflict of interest transactions. David also represents public and private companies in connection with merger and acquisition transactions, asset purchases and sales, joint ventures and other strategic transactions. David is a member of the National Association of Real Estate Investment Trusts (NAREIT). He is ranked by Chambers USA as a nationwide leading lawyer for REITs and is recommended by The Legal 500 US for Real Estate: REITs, highlighted for “specialising in equity and mortgage REITs.” David has also been recommended by The Legal 500 US for Capital Markets: Equity Offerings (2017-2020).
