Giovanni Maria Marini is a corporate lawyer with significant experience assisting domestic and international clients with important transactions in a range of corporate and compliance matters. In recent years, Giovanni has been active in assisting clients in a variety of real estate matters. He is involved in the development of commercial, residential, and industrial properties, in complex joint ventures, and the acquisition and sale of significant portfolios of real estate nonperforming loans, financial leases, corporate finance, and asset finance. His practice deals with all issues of development, design, construction, financing, insurance, environmental, lease and administrative law. He is also experienced in complex corporate reorganizations and has a broad corporate and commercial background with a substantial practice in international and domestic mergers and acquisitions, in particular automotive, chemical, pharmaceutical, and fintech transactions. Giovanni has extensive experience advising management and supervisory boards in compliance matters (Foreign Corrupt Practices Act, UK Bribery Act, Loi Sapin II, Decreto 231/01), in particular, in the drafting of compliance models, in carrying out compliance audits and in advising on day to day compliance matters. He is sought after for crises management and is called upon to help companies develop a prompt and comprehensive response when a potentially unlawful activity is discovered. Areas of expertise include risk assessment, drafting and monitoring procedures and policies, codes of ethics and conduct, and disciplinary procedures, as well as compliance related due diligence in M&A transactions. He focuses on minimizing the risk of liability for companies in cases of crimes committed by executives and employees and ensuring continued compliance with applicable laws and regulations. He practiced as an associate in the Milan office of Piergrossi-Villa and Ughi e Nunziante, the Washington, London and Bruxelles offices of Wilmer, Cutler and Pickering, the Brussels office of Cleary Gottlieb and, as a partner, in the Milan and London offices of Brosio, Casati e Associati, Allen & Overy and Jones Day, before returning to Ughi e Nunziante in March 2015. Giovanni writes and lectures on issues of real estate, commercial, corporate and compliance law and is fluent in Italian, English and French. He has been a member of the Milan Bar (Ordine degli Avvocati) since 1983 and the New York Bar since 1990.
