Bio

Douglas Rabuzzi is known for his extensive experience in securities law, corporate governance, mergers & acquisitions, and commercial lending, as well as general corporate law matters. He regularly advises directors and executive officers on a broad range of legal issues. In terms of Doug’s securities compliance experience, as Corporate Secretary and Assistant General Counsel for Duquesne Light, Doug was responsible for all securities matters, periodic SEC filings, and insider compliance filings. He helped create and chaired the internal disclosure committee, charged with implementing and monitoring the entity’s disclosure controls and procedures. Doug also served as liaison with the SEC and the New York, Philadelphia, and Chicago Stock Exchanges. Regarding securities issuance, Doug served as lead in-house counsel for the aggregate issuance of approximately $1.2 billion of debt securities and $300 million of equity securities. During the course of his career, Doug has also drafted and negotiated initial public offering registration statements for several technology and manufacturing companies in Pittsburgh, as well as private offering memoranda for various clients. Doug has experience in a broad range of corporate governance/ethics issues, board of director duties and obligations, stockholder issues, recordkeeping requirements, and stock exchange regulations. He also has experience in dealing with corporate compliance, including ethics hotline issues. During the course of his career, Doug has advised clients with respect to corporate acquisitions and reorganizations, including many multi-million dollar asset acquisitions, the billion dollar stock acquisition of a public company by private equity, and a multi-million dollar international stock divestiture. Doug has also represented commercial lenders and borrowers in several multi-million dollar loan transactions, both secured and unsecured.
