Zachary Jacobs advises private equity firms and their portfolio companies, public companies and private businesses in mergers and acquisitions, dispositions, complex investments, joint ventures and other strategic transactions. Zach works with clients both within and outside the United States, spanning industries as varied as health care and life sciences, consumer products, chemicals and manufacturing, technology, transportation, education, staffing and business services, and renewable energy. Zach often serves as outside corporate counsel for privately held businesses, including portfolio companies of the private equity firms he advises. An objectives-driven lawyer who is committed to knowing and understanding his clients’ industries and businesses, and the values that drive their company cultures and investments, Zach is often called upon to represent his private equity clients and their portfolio companies in multiple transactions through the full investment life cycle, from acquisition to exit. In addition to private equity firms, Zach helps founders, entrepreneurs and professionals, family offices, and other equity holders navigate the process of selling their businesses, including engaging investment bankers, conducting auction processes, and negotiating sale and related documents. He has also represented investment banks in their capacity as financial advisors in M&A transactions, related-party transactions, dividend recapitalizations, intercompany restructurings and other strategic transactions.
