Zach Cochran represents public and private companies and investors in a variety of capital markets transactions. Zach has substantial experience assisting clients in connection with offerings of investment grade and sustainability-linked bonds, convertible bonds, preferred stock and warrants, as well as IPOs, secondary offerings, shelf offerings, Rule 144A and other exempt offerings, tender offers and liability management transactions. Zach also advises public companies and their boards of directors on corporate governance, securities law and ESG matters, including best practices and disclosures. Representative experience includes advising on Securities and Exchange Commission reporting requirements, proxy disclosures, stakeholder engagement, director independence, proxy advisory services and disclosure controls and procedures. Zach also has experience advising clients on public and private mergers, acquisitions and divestitures from both the seller and buyer perspective. Zach represents companies in a variety of industries (including financial services, technology and energy) and represents both foreign and domestic companies.
