Lou Lan is a partner in the New York Office of Jun He. Mr. Lou has been practicing law in New York City since 2001. Prior to joining Jun He, Ms. Lou worked as a corporate attorney in the New York office of two leading U.S. law firms (Davis Polk & Wardwell and Baker & McKenzie LLP) for more than 10 years and gained significant and comprehensive legal knowledge in the U.S. capital markets, mergers & acquisitions, private equity investments, and legal compliance & advisory. Ms. Lou joined Jun He in 2014 and has been dedicated to advising cross-border transactions between the United States and China. In Ms. Lou’s capital markets practice, she represents both U.S. and international clients. Mr. Lou’s experience includes initial public offerings and SPAC transactions, legal compliance advice for U.S. listed companies, secondary securities offerings, and applications for registered investment advisor license with the SEC. In Ms. Lou’s cross-border M&A and private equity investment practice, she provides clients with one-stop-shop legal services, including designing project structure at the initial stage, conducting comprehensive legal due diligence, drafting and negotiating transaction documents on behalf of clients, and final closings. Ms. Lou also assists clients in drafting, reviewing, and negotiating business contracts in the daily operation of the company. Ms. Lou has extensive experience in a wide range of industries, including automobile parts, assisted reproduction, higher education, biomedicine, medical apparatus and instruments, artificial intelligence, autonomous vehicles, and software games. Ms. Lou's clients include industrial companies, banks, strategic investors and financial investors. As a result of her extensive practical experience in assisting Chinese entities to achieve their overseas business goals and her ability to communicate with clients smoothly, Ms. Lou is always quick to understand and tailor to the needs of Chinese entities and form an optimal plan of service.
