Bio

Matthew Nolley focuses his practice in real estate, business and finance law. Matt’s work includes representing developers and owners of multifamily, mixed-use, hospitality, retail, office, medical office and industrial projects through the acquisition, development, financing, leasing and disposition stages of the asset’s life cycle. His representation includes filing, drafting and negotiating organizational documents for developers and owners and their special purposes entities, including joint ventures, multi-class limited liability companies and other structures. Matt drafts and negotiates access, parking, drainage, utility and other easements. He also drafts, negotiates and reviews reciprocal easement agreements, declarations of covenants, conditions and restrictions and similar documentation. Matt assists his clients with navigating various entitlement (zoning, variances) and incentive programs (tax abatements, tax increment financing) from local jurisdictions as well. Matt represents his mixed-use, hospitality, retail, office, medical office and industrial clients with drafting and negotiating letters of intent and purchase agreements, organizational documents, easements, loan and other financing documents, leases, management agreements and the various other documents that are required for the acquisition, development, financing, leasing, owning, managing, operating and sale of their projects. This includes handling construction, mini-perm and permanent loans of various structures and programs, including HUD’s 221(d)(4), 223(f) and 223(a)(7) programs, as well as Fannie Mae, Freddie Mac and various CMBS loan programs, for multifamily assets. Matt has extensive experience in real estate development projects financed by tax credits, including low-income housing tax credits (LIHTC), historic tax credits (HTC) and New Markets Tax Credits (NMTC), and the Department of Housing and Urban Development’s 221(d)(4) program. His clients often call on Matt to counsel them through creative and often complex structuring of partnerships and projects utilizing tiered financing arrangements and innovative real estate constructs. Matt has also represented various local, regional, national and international lenders extending construction and mini-perm loans secured by various real estate asset types and other equipment. Matt is licensed to practice in Indiana and Washington D.C. As a law student, Matt fulfilled a law clerkship with the Air Force General Counsel’s Office, located at the Pentagon, where he provided legal research and other consulting insight into the issues the department faced, including contractor ethics issues, officer discharge procedures, interpretations of federal laws, and CFIUS reviews. Matt earned his BS from Purdue University. He then earned an MBA with a focus in accounting and marketing from Indiana University Kelley School of Business and a JD from Indiana University Robert H. McKinney School of Law.
