Bio

Michael Primrose focuses his practice on transactional, corporate and contract work for public and privately held companies, strategic business counseling, and capital formation and restructuring. Michael has significant experience in mergers and acquisitions as well as public and private debt and equity financings, including exchange offers, spin-offs, recapitalizations, stock splits, venture capital investments, and private placements of senior and mezzanine debt and equity securities. He also has significant experience representing closely held companies that have significant financial, regulatory, operational or shareholder issues. Michael’s experience as General Counsel of a natural gas retailer and as acting general counsel (while with the firm) of a wireless communications carrier provides him personal insight into the issues companies and their general counsel face on a day to day basis. Michael is a member of the Ohio State Bar Association and the American Bar Association (Negotiated Acquisitions Committee). He received his B.A. with honors from the University of Texas at Austin in 1986 and earned his J.D. cum laude in 1989 from the University of Michigan.
