Matthew Oliver focuses his practice on mergers and acquisitions, securities, finance and corporate governance. Matt assists publicly held and private companies as well as private equity clients in all stages and forms of mergers and acquisitions by preparing, reviewing and negotiating transaction documents and managing purchaser and seller legal due diligence. He also counsels clients in connection with general commercial arrangements and significant business changes and events such as change of control transactions. Matt's securities practice includes drafting and reviewing registration statements, proxy statements and other periodic reports. He regularly advises on disclosure matters and on the impact of developments in exchange rules and regulatory initiatives affecting governance of public companies. Matt also has significant experience advising on capital raising activities for early stage and emerging companies as well as public companies.
