Advocate Ofer Yancovich is a senior partner and head of the Corporations and Capital Market Department at Weksler Bregman & Co. Ofer has an outstanding track record and abundant experience in the field of corporate law and the capital market and is ranked personally as an “excellent” practitioner in the Israeli capital market by international rating guides. Ofer’s primary expertise is in corporate law and securities law, where he provides advice, guidance, and representation to a wide variety of clients on all aspects of these fields. In addition, Ofer has great familiarity with banking and financial regulation with emphasis on the various practices and activities in the market. Ofer advises his various clients on all aspects of capital and debt raising procedures from the public and through institutional investors, prospectuses, corporate governance, changes in corporate structure, transactions with controlling shareholder and the remuneration of senior executives, including contact with regulators, and on the Securities Authority’s administrative enforcement procedures. Ofer has also handled complex, significant transactions in the Israeli economy involving public corporations, the implementation of which involves familiar corporate techniques, such as a merger or a takeover bid, alongside less customary techniques such as a reverse triangular merger, which is an arrangement under Section 350 of the Companies Law, and more. In addition to all this, Ofer is engaged in the formulation and implementation of debt arrangements for public corporations that have issued debentures to the public, alongside accompanying debt arrangements in the framework of the banking system. The Department’s clients include public corporations whose securities are listed for trading on the Tel Aviv Stock Exchange, banking and financial corporations and private companies engaged in various fields of activities, such as residential real estate and commercial real estate, renewable energy, software, commerce, and more. Ofer also provides the Tel Aviv Stock Exchange with extensive legal advice both in its capacity as the main platform in Israel for trading and clearing securities and financial instruments, and in its capacity as a public company and reporting corporation.
