Kinga Ziemnicka-Klebba Bio

Dr Kinga Ziemnicka-Klebba heads the Corporate practice and the Corporate Accounting practice. In M&A matters she coordinates legal support for transactions (comprehensive transaction structure and implementation through all stages), negotiation of investment agreements, and advice on corporate finance and accounting. This includes share sale agreements and corporate governance issues, as well as the sale of enterprises or organised parts of enterprises. She also practises corporate and civil law. She coordinates ongoing corporate support for clients essential for their business operations, cooperating with specialists from other fields of law depending on the client’s needs. She assists in establishment, restructuring (merger, division, conversion of corporate form) and liquidation of companies, branches, representative offices of foreign businesses, and foundations. She also advises clients on current matters, such as commercial contracts. Moreover, she represents clients in corporate disputes between shareholders, including in public companies, particularly involving defence against hostile takeovers, disputes challenging corporate resolutions, and dissolution of companies. She joined Wardyński & Partners in 2008.
