Kinga Ziemnicka heads the Corporate Accounting practice. She practises civil and corporate law, including litigation of corporate disputes. She has great experience providing legal support for mergers and acquisitions, particularly negotiating and drafting investment agreements. In M&A matters she coordinates legal support for clients, with comprehensive development of the transaction structure and implementation at specific stages, negotiation of agreements, and advice on corporate finance and accounting—in particular agreements for the sale of shares connected with establishment of corporate relations, and sales of enterprises and business units. She provides ongoing business-related legal assistance to corporate clients, including advice and assistance in creation, restructuring and liquidation of partnerships, companies, and branches of foreign enterprises. She also advises clients and represents them in corporate disputes between shareholders, including in listed companies, in particular connected with protection against hostile takeovers, challenges to corporate resolutions, and cases seeking corporate dissolution. She joined Wardyński & Partners in 2008.
