Shamar Ennis is based in Walkers' Cayman office where she is a partner in the firm's Insurance Group. Shamar was previously a partner in the firm's Global Finance and Corporate Group and worked in both Walkers' Cayman and Hong Kong offices. She advised financial institutions, asset managers and institutional investors on a broad range of corporate and finance transactions, with a particular focus on debt capital markets, structured finance and bespoke structured product transactions. Shamar's experience includes acting on the establishment of secured note programmes for annuity writers and reinsurers, advising on structures involving investments utilised by regulated entities such as insurers and banks to meet regulatory capital requirements, as well as advising private equity managers on their credit strategies, including the establishment of CLO platforms and fund-linked note issuances; Shamar has also assisted non-bank lenders (including insurance companies) on private credit transactions. Shamar has also worked extensively on repackagings, project financings, derivatives, CSX listings of debt securities and innovative bankruptcy remote financings involving the capital markets, including advising a US airline during the COVID-19 pandemic on the first ever securitisation transaction involving a loyalty programme. Shamar acts on the structuring and transactional side of the Insurance Group and advises licensees (or counterparties to licensees) on transactional matters as well as working closely with regulatory colleagues in relation to the establishment of captives, reinsurers and other licensees or the status of transactions undertaken by them.
