Rachel Nightingale is a partner and member of the Corporate, Finance, Funds & Insurance Group based in Walkers' Bermuda office. Rachel has a broad range of corporate transactional and advisory experience. Her practice involves advising clients in relation to mergers and acquisitions, private equity investments and disposals, amalgamations and restructurings. She also has experience in advising on both private and public offerings, including in respect of the Bermuda, London and New York stock exchanges. She also has particular expertise in advising FinTech businesses, including advising in relation to establishing a business in Bermuda and the offering of digital assets and the licencing framework for digital asset businesses in Bermuda, including compliance. As part of Rachel’s broad experience, she also advises on the licencing and ongoing regulation of insurance companies, including reinsurance structures, captives, special purpose insurers, sidecars and segregated account vehicles. Rachel regularly acts for private equity houses, licenced insurance/reinsurance entities, fund administrators, financial institutions, investment managers, global FinTech companies and start-up FinTech venture companies. She has contributed to a number of articles and legal publications on Bermuda law matters and has spoken at various seminars on topics relating to compliance with Bermuda's AML/ATF framework and Bermuda's evolving FinTech ecosystem.
