Hans Jakob Diem is regarded as a market-leading expert in Mergers & Acquisitions, corporate law and securities law matters. He has extensive experience in advising clients in acquisitions and disposals, leveraged buy-outs, public tender offers, mergers, spin-offs, takeover battles and proxy fights, both domestic and cross-border. He represents issuers and underwriters in IPOs, rights issues and other capital market transactions and represents companies and investors in takeover and securities law-related proceedings. In addition, he regularly advises boards of directors and executive management teams in corporate governance, corporate reporting and disclosure matters. Besides his corporate practice, Hans-Jakob Diem is a lecturer at the Universities of Basel, Zurich and St. Gallen. He is a regular speaker at conferences on M&A, securities law and corporate law topics and the author of various legal textbooks, commentaries and specialist articles in these fields. Hans-Jakob Diem completed his studies of law at the University of Basel in 1992. In 1995 he was admitted to the bar and obtained an LL.M. from the London School of Economics and Political Science in 1998. Hans-Jakob Diem speaks German, English and French. He is registered with the Zurich Bar Register and admitted to practice in Switzerland.
