Brian O’Neill is a trusted advisor to public and private companies, private equity funds, family offices, and financial institutions. With more than three decades of experience, he counsels clients on mergers and acquisitions, divestitures, joint ventures, recapitalizations, restructurings, ESOPs, corporate governance, and other strategic transactions. Brian also serves as lead advisor to private, family-held businesses in connection with ownership succession, equity restructurings, and liquidity events, as well as transactions to resolve major voting deadlocks. Brian’s experience includes transactions and client engagements across a broad range of industries, including aerospace, technology and software (SaaS), TMT (technology, media, and telecom) services, general and high-tech manufacturing and distribution, metals processing, business services, transportation and logistics, professional services, wealth advisory and other financial services, insurance, environmental services, consumer products, and food and beverage, as well as real estate. Brian also advises on high-profile corporate real estate projects and development transactions nationwide, including numerous corporate headquarters projects. He regularly handles acquisitions, financing, construction, zoning, leasing, and entitlements for commercial, residential, and mixed-use developments, representing both institutional investors and developers. In the finance space, Brian represents borrowers and lenders in asset-based, cash-flow, and acquisition financings, including syndicated credit facilities, mezzanine financings, and public-private partnerships. He currently serves on numerous client boards and advisory groups, contributing insight on operational and strategic priorities. Brian’s practical, solutions-focused approach has made him a long-standing advisor to many businesses from early growth through major liquidity events. Brian joined Tucker Ellis in 2012 as Chair of the Business Department and led the firm’s General Corporate/M&A/Securities group through a period of significant growth. He previously chaired the business department and served on the management committee at Ulmer & Berne LLP and held leadership roles at McDonald Hopkins.
