Timothy Onufrock is a partner in the firm’s Corporate Department where he is a trusted and pragmatic advisor to a variety of businesses, their leaders and owners, and entrepreneurs in guiding the growth, strategic planning and protection of their businesses. Mr. Onufrock’s legal career has spanned a variety of in-house counsel leadership roles, including as Assistant General Counsel responsible for transactions for a Forbes 400 family office; as General Counsel to a multi-billion dollar hedge fund investment firm; as Assistant General Counsel to Invesco-PowerShares responsible for new products and all IP licensing; as General Counsel to a healthcare informatics company; and as General Counsel to a venture backed SoCal based technology company and as acting general counsel to a commercial real estate finance syndicate. Mr. Onufrock has extensive experience working directly with CEOs and boards of directors on high profile, strategic projects and transactions, including mergers & acquisition activities, divestitures, joint ventures, exclusive selling and distribution agreements, and legal and corporate services. Mr. Onufrock’s principal areas of concentration include general corporate, commercial and business matters, family-business law, financial matters, public and private financings, and mergers and acquisitions on both the buy and sell side. He counsels his clients on daily operating issues including executive employment, restrictive covenant and other employment matters; represents them through capital raises, both equity and debt, including securities compliance matters; and regularly negotiates and documents complex commercial contracts on clients’ behalf. Mr. Onufrock has extensive experience in private fund formation and offshore investment vehicles. He regularly counsels and negotiates corporate and commercial agreements and has experience across several industries, including hedge funds and financial services, healthcare technology, cyber security, private equity, IT services and staffing, and technology. Mr. Onufrock advises on general corporate planning for domestic and international privately held companies. He has represented companies in oil and gas transactions, corporate structuring and restructuring transactions, and securities transactions. Mr. Onufrock also regularly drafts and negotiates shareholder, buy-sell, vendor, employment, independent contractor, non-compete, and non-disclosure agreements. Mr. Onufrock’s practice also covers wide breadth of commercial real estate issues and transactions including commercial real estate acquisition, financing, development, leasing, management and disposition, and litigation representing landlords, tenants, and developers in connection with commercial real estate disputes.
